Terms of Service

Please read these Terms carefully before using MySpannr. By creating an account or using our services, you agree to be bound by these terms. If you do not agree, do not use MySpannr.

In these Terms, the following words have the meanings set out below:

MySpannr is a business workflow automation platform for Australian tradespeople and service businesses. We provide tools to help you create quotes, manage jobs, send invoices, manage your team, track business costs and scan supplier invoices using AI — operated as a software-as-a-service (SaaS) subscription product.

⚠️ MySpannr is a business administration tool only. Nothing in the platform or its outputs constitutes legal, financial, tax, accounting or professional trade advice. You should seek independent professional advice for your specific circumstances.

5. Account Registration and Security

You must keep your password confidential, notify us immediately at accounts@myspannr.com if you suspect unauthorised access, not share login credentials, and be responsible for all activity under your account. We will never ask for your password by email or phone.

6. Subscription Plans and Billing

All plans include: unlimited quotes, invoices, jobs, customers, supplies catalogue, material price lists, calendar, job checklists and quote intelligence analytics. Photo uploads and team management tools are available on paid plans only and are not enabled during the free trial.

6.2 Free Trial

New accounts receive a 14-day free trial with no credit card required. During the trial, the following limits apply: 5 AI Invoice Scans in total across the trial period, and up to 5 Automated Emails per rolling 24-hour period. At the end of the trial, you must subscribe to continue using the service.

If you subscribe within 30 days of your trial expiring, your data is retained and your account continues uninterrupted. If you do not subscribe within 30 days of trial expiry, your business data is permanently deleted. We retain a minimal record of your email address after deletion solely to administer the one-free-trial-per-account policy; accordingly, the free trial is available once per email address and a returning user with a previously used email will be directed to subscribe to a paid plan rather than receive a further free trial.

6.4 Pricing and Plan Changes

We may change pricing, plan limits and features. We will provide Reasonable Notice of any price increase by email. Continued use after changes take effect constitutes acceptance. You may cancel before changes take effect if you do not accept them. We will not remove Core Functionality without at least 60 days notice.

6.5 AI Invoice Scanning

AI Invoice Scanning uses Anthropic's API to extract line items, quantities, costs and supplier details from uploaded supplier invoices (photos or PDFs). Each scan counts toward your monthly scan allowance as set out in clause 6.1. For paid plans, your scan allowance resets at the start of each billing period — the monthly anniversary of your subscription start date. During the free trial, the scan allowance is a fixed total for the trial period and does not reset. You must verify all AI-extracted data before use. We are not liable for errors in AI outputs.

⚠️ AI Invoice Scanning is a productivity tool only. Results may be inaccurate. You are responsible for verifying all extracted data before using it in quotes or invoices.

6.6 Automated Emails

Automated Emails are outbound emails sent from the platform on your behalf, including quote delivery, invoice delivery and variation notices. Each email sent counts toward your daily limit as set out in clause 6.1. Email limits apply on a rolling 24-hour basis. You are responsible for ensuring you have the recipient's consent to receive commercial electronic messages in accordance with the Spam Act 2003 (Cth).

6.7 Cancellation

You may cancel at any time via in-app settings or by emailing accounts@myspannr.com. There are no cancellation fees. When you cancel, your subscription is set to end at the close of your current paid billing period — you keep full access until that date, and no further charges are made. After your access period ends, your account is closed and your data is retained for 30 days before permanent deletion, during which you may contact us to reactivate.

7. Acceptable Use

You must not create fraudulent documents; operate without required licences; reverse-engineer the platform; use automated scraping tools; attempt to access other accounts; upload malicious or illegal content; engage in illegal or fraudulent activity; or resell the platform without consent.

8. Prohibited Industries and Uses

Prohibited uses include: unlicensed trade businesses; unlicensed electrical, plumbing, gas or building work; fraudulent invoice generation; and businesses listed on state or territory building authority deregistration lists. We may terminate such accounts without notice and report suspected illegal activity to authorities.

⚠️ Templates provided by MySpannr are workflow tools only — not legal advice. You are solely responsible for ensuring your documents comply with applicable laws. MySpannr accepts no liability for the legal sufficiency or enforceability of any generated document.

For contracts over $20,000 or complex residential building work, we strongly recommend independent legal advice.

MySpannr does not warrant or guarantee that any templates comply with the Home Building Act 1989 (NSW), the Domestic Building Contracts Act 1995 (VIC), or equivalent state-based building legislation. You are solely responsible for ensuring your contracts meet all statutory requirements for your specific trade, job value and state or territory.

10. AI Features Disclaimer

⚠️ AI outputs may be inaccurate. You must verify all results before relying on them. We are not liable for losses arising from AI errors.

AI features are productivity tools only — not professional advice. AI capabilities may change if our provider changes its services. User Content submitted to AI features is processed via Anthropic's API but is not used by MySpannr or Anthropic to train or improve underlying AI models.

11. Beta Features

We may release features in a beta or experimental capacity. Beta Features:

13. ABN and GST Data

A valid, ABR-verified ABN is required to create a MySpannr account. ABN data is sourced directly from the Australian Business Register and used to pre-fill your profile and documents. You are responsible for maintaining accurate ABN and GST information. MySpannr is not a tax advisor — you are solely responsible for tax compliance. If the ABR issues a withdrawal notice for your ABN data, we will remove the affected information.

MySpannr accepts no liability for errors in GST calculations, ABN data or tax compliance. Consult a registered tax agent or accountant for tax advice.

14. User-Generated Content

You retain ownership of all User Content. You warrant you have the right to upload it, are responsible for its accuracy and legality, and must not upload illegal or infringing content. You grant us a limited licence to store and process content solely to provide our services. We may remove content that violates these terms and are not liable for User Content uploaded by you or your team.

15. Third-Party Services

Third-Party Services are outside our control. We are not responsible for their availability, accuracy or performance. We may suspend features that depend on a provider if that provider changes its terms. Third-party services have their own terms and privacy policies. We are not liable for losses caused by third-party failures.

16. Data Storage and Cloud Infrastructure

Data is stored on Railway-hosted servers (primarily Southeast Asia and the United States) and Cloudflare R2 object storage. Daily backups are stored in Cloudflare R2. We may change providers with Reasonable Notice. Data stored outside Australia may be subject to the laws of that country. We take reasonable steps to ensure providers maintain appropriate security standards. Certain sensitive data, including digital signatures, is encrypted at rest.

By using MySpannr, you acknowledge and expressly consent to the cross-border disclosure and transfer of personal information to our infrastructure providers in the United States and Singapore, as permitted under Australian Privacy Principle 8 of the Privacy Act 1988 (Cth).

17. Intellectual Property

You own all User Content you create. We own the platform, software, designs and templates. You receive a limited, non-exclusive, non-transferable licence to use the platform during your subscription. Feedback you provide may be used to improve our services without obligation to you.

18. Privacy

Our Privacy Policy governs collection and use of personal information and is incorporated into these Terms by reference.

19. Service Availability

We provide no SLA unless agreed separately in writing. We do not guarantee uninterrupted access, uptime, error-free operation or data recovery. We may update or discontinue features with Reasonable Notice. We are not liable for losses arising from service unavailability.

20. Data Retention and Backups

Data is accessible while your subscription is active. After cancellation, data is retained for 30 days then permanently deleted from active systems. Backup copies are automatically deleted within approximately 21 days due to our backup retention cycle. Some data may be retained longer where required by law. System logs are kept for up to 12 months. Export your data before closing your account — we are not liable for loss after the 30-day retention period.

21. Fair Use

We may impose reasonable limits on storage, API requests, AI scan volume and bulk exports to maintain service quality. Per-plan AI Invoice Scan and Automated Email limits are set out in clause 6.1. We will notify you before enforcing any additional limit affecting normal business operations.

22. Indemnity

You agree to indemnify and hold harmless MySpannr and its officers, employees and contractors from claims, damages and costs arising from: your breach of these Terms; illegal use of the platform; User Content you upload; disputes between you and your customers; or your failure to hold required licences or comply with applicable regulations.

23. Limitation of Liability

To the maximum extent permitted by Australian law, MySpannr's total liability is limited to the subscription fees you paid in the 3 months preceding the claim.

We are not liable for loss of profits or revenue; data loss; indirect or consequential damages; template or AI errors; third-party failures; delays beyond our control; integration failures; or losses from user error or inaccurate account data. Nothing excludes rights under Australian Consumer Law that cannot be excluded by agreement.

24. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. If our service has a major failure, you are entitled to a refund of the fees paid for the affected service, or to have the failure remedied. For non-major failures, you are entitled to rectification or a refund for the reduction in value. Refunds under these consumer guarantees are not limited by clause 23. The liability cap in clause 23 applies only to consequential or indirect losses, to the extent the law permits limitation.

25. Support

Support is available via accounts@myspannr.com. We aim to respond within 2 business days (AEST/AEDT). No phone support is provided unless separately arranged for Enterprise accounts.

26. Termination

You may cancel at any time via in-app settings or email. We may suspend or terminate accounts immediately for material breaches including fraud, illegal use, serious security threats, non-payment after notice, or prohibited use under clauses 7 or 8.

For non-material breaches (such as minor administrative errors), we will provide 7 days written notice to allow you to remedy the breach before exercising our right to suspend or terminate your account.

Where you cancel voluntarily, your access continues until the end of your current paid period as set out in clause 6.7. Where we terminate your account for a material breach, access ceases immediately. In either case, once access ends your data is retained for 30 days before permanent deletion.

27. Modifications to Terms

We may update these Terms with Reasonable Notice. Continued use after changes take effect constitutes acceptance. You may cancel before changes take effect if you do not accept them.

28. No Assignment Without Consent

You may not assign, transfer or sublicense your account or rights under these Terms to any other person or entity without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity in connection with a merger, acquisition or sale of assets, with notice to you.

29. Force Majeure

We are not liable for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, pandemic or third-party infrastructure failures.

30. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms continue in full force and effect.

31. Waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of that provision or our right to enforce it on any future occasion. No waiver is effective unless made in writing.

32. Survival

The following clauses survive termination of these Terms: Definitions, No Professional Advice, Customer Responsibilities, User-Generated Content, Third-Party Services, Intellectual Property, Indemnity, Limitation of Liability, Data Retention and Backups, Governing Law, and any other clause which by its nature is intended to survive termination.

33. Notices

We may provide notices to you under these Terms by email to the address associated with your account. You are responsible for keeping your email address current in your account settings. Notices to MySpannr must be sent to accounts@myspannr.com. Notices are deemed received 24 hours after sending unless we receive a delivery failure notification.

34. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Disputes are subject to the exclusive jurisdiction of the courts of New South Wales, unless otherwise required by Australian Consumer Law.

35. Entire Agreement

These Terms together with our Privacy Policy constitute the entire agreement between you and MySpannr and supersede any prior agreements or representations.
